Introducing the Man Behind It All
Brad Jacobs is an outspoken CEO with an attractive track record of building great companies that deliver high returns on equity. Jacobs has seen significant success as CEO of multiple companies, including:
- United Waste (IPO 1992): consolidated and sold to Waste Management in 1997 for $1.9 billion, delivering 55% compounded annual returns to investors.
- United Rentals (URI): a roll-up of heavy equipment rental companies that became the world's largest equipment rental provider, outperforming the S&P 500 by 2.2x during Jacobs' tenure from 1997 to 2007.
- XPO: a freight company that Jacobs grew from $175 million in revenue to $15 billion, delivering over 3,000% total shareholder returns and ranking as the 7th best-performing Fortune 500 stock of the decade.
- GXO: a spin-off from XPO in 2021. Returns have been sluggish since the initial spin-off.
- RXO: also a spin-off from XPO in 2021. Like GXO, has suffered from subpar performance since inception.
Jacobs lives by his lifelong motto, "Create shareholder value," and often admits that without this, he questions his very purpose. He is not afraid to vocalize and instate grand expectations as he enters a business that operates within a fragmented industry. Jacobs has done just this for almost 40 years and has completed over 500 acquisitions during his tenure.
His strategy is to identify a large, fragmented industry that has room for growth in the future, gather investors, purchase a business, and then utilize this business and the raised capital to continue acquiring and integrating other companies within the industry. Jacobs has also stated he will never overpay for an acquisition. This is a notable reason for his interest in a large, fragmented industry over a smaller one. A larger industry provides a multitude of acquisition targets.
The GXO and RXO Question
Before evaluating QXO, it is worth addressing the underperformance of Jacobs' two most recent ventures. Both GXO and RXO were spun off from XPO in 2021 and have delivered disappointing returns since. GXO, a contract logistics company, has struggled with weaker-than-expected warehouse demand as e-commerce growth normalized post-pandemic. RXO, a truck brokerage operation, has faced a freight recession that compressed margins across the entire industry.
However, there is an important distinction. Jacobs did not build GXO and RXO from the ground up the way he built United Waste, United Rentals, and XPO. Those were spin-offs of existing divisions, not acquisition-led rollups. With QXO, Jacobs is returning to his original playbook: identify a fragmented industry, raise capital, acquire a platform company, and scale through disciplined integration. Whether that distinction matters is a critical question for investors considering QXO.
In Comes QXO
Having proven his strategy across waste, rentals, and freight, Jacobs meticulously searched for what he calls his "last hoorah," ultimately landing on QXO, a company operating within the building products distribution industry.
Jacobs was able to raise $5 billion in cash, with $900 million from himself, $100 million from family, and the remaining $4 billion from professional investors. The building products distribution industry has:
- Size: Over 30,000 companies between the U.S. and Europe, with $800 billion in annual sales
- Strong future growth: Over 6-8% annually
- Operational inefficiencies that Jacobs believes he can solve through AI and modernization
Jacobs' goal with QXO is to roll up the industry, integrating each acquisition in sequence while deploying AI to build more efficient operations, eventually leading to increased margins. Specifically, building products distribution traditionally operates on thin margins with significant waste in inventory management, order processing, and logistics coordination. Jacobs plans to deploy AI-driven demand forecasting, automated order systems, and route optimization to compress costs and improve inventory turns, similar to the operational improvements he achieved at United Rentals and XPO. Publicly, Jacobs has stated QXO will achieve $50 billion in recurring revenue within the next decade, which implies a roughly 1,000% increase in revenues since it went public in January 2025.
The First Acquisition
On April 29, 2025, QXO made its first acquisition. The company acquired Beacon Roofing Supply in an $11 billion buyout at $124 per share, a 10.8x multiple of Beacon's 2025 EBITDA and 10.1x its 2026 EBITDA, a slight premium to industry averages. The premium is reasonable for a platform acquisition that gives QXO an established distribution network and immediate scale, though investors should watch whether future deals can be completed at more attractive multiples as the rollup gains momentum.
Investors quickly approved, and QXO's stock doubled within months of the deal. This strategic acquisition has quickly led QXO to become one of the largest distributors in the U.S. building products market. It has also granted QXO long-standing trust, as Beacon has been in business since 1928, with key distribution centers near major cities and areas undergoing significant redevelopment.
This acquisition accelerates Jacobs' plan, giving QXO a scalable foundation to build on. Jacobs has stated that as soon as Beacon has been successfully integrated, QXO management will target its subsequent acquisition to create even more shareholder value.
Key Risks
- Execution risk: M&A-driven rollups have a high failure rate. Integrating dozens of acquisitions while maintaining service quality and managing cultural differences is operationally complex. Jacobs' track record mitigates this risk, but it does not eliminate it.
- Capital structure: QXO deployed $5 billion in equity and $11 billion for Beacon alone. As the rollup continues, the company will likely need additional capital. How aggressively QXO uses debt versus dilutive equity raises will directly impact shareholder returns.
- Jacobs dependency: QXO's thesis rests heavily on Brad Jacobs' personal expertise and investor relationships. The company's management bench below Jacobs is largely untested in this specific industry.
- Construction cycle sensitivity: Building products distribution is tied to new construction and renovation activity. A prolonged housing downturn or rise in interest rates could slow demand and compress acquisition multiples.
- Regulatory scrutiny: As QXO consolidates a fragmented industry, it may attract antitrust attention, particularly if its market share in specific product categories or geographies becomes concentrated.
The Future
Unfortunately, we cannot see the future, and currently, investors lack any significant supplemental financial information to guide a thorough investment decision. Although QXO does not have a financial track record, having recently gone public in January 2025, it operates in a space that requires major renovations to create more efficient operations.
For investors, QXO represents both Jacobs' proven playbook and his most ambitious bet yet. With no financials to lean on, the story hinges on one question: can Jacobs acquire his way to success one last time?
